This Agreement is being made between [Your Company Name/Michelle Shapiro Nutrition LLC] of [Your Address/100 Park Avenue, Fort Lee, NJ 07024] (“Presenter” or “we”) and (“Participant” or “you”). We both legally agree to the following:

Webinar Description.

You are purchasing access to our educational webinar called "Histamine Essentials" (“Webinar”). As part of this Webinar, you will receive:

    Information and education regarding histamine intolerance, Mast Cell Activation Syndrome (MCAS), and related topics.
    Strategies and tools related to histamine management.
    [mention other specific deliverables, i.e., downloadable resources, handouts, etc.]

You will have access to the live Webinar event on May 21, 2025, at 6 PM Eastern. [Optionally, mention if recording will be available and for how long.]

Participant Expectations and Responsibilities.

As the provider of this educational Webinar, we will:

    Present a comprehensive and well-organized Webinar.
    Provide clear information and answer questions to the best of our ability during the designated Q&A portion (if applicable).

As a participant, you agree to:

    Attend the Webinar with an open mind and willingness to learn.
    Be responsible for your own internet connection and ability to access the Webinar platform.
    Respect the presenters and other attendees.

Investment and Payment.

    Investment: The fee for the "Histamine Essentials" Webinar is $47.

    Payment Authorization and Receipt: By completing the registration process, you authorize us to charge your credit card or debit card for the full amount of $47. You will receive an electronic receipt upon successful payment. Please note that chargebacks are not permitted.

    No Refund Policy: Due to the immediate access to the live Webinar event, and the extensive preparation involved, no refunds will be provided for any reason.

Intellectual Property Rights.

    Participant’s Content: We acknowledge that you retain any intellectual property rights in your personal notes or any work product directly resulting from your participation in the webinar.

    Presenter's Intellectual Property Rights: We retain all ownership and intellectual property rights to the Webinar content and all materials provided to you, including copyrights and any trademarks belonging to us. The Webinar content and materials are being provided to you for your individual educational use only and with a single-user license. You are not authorized to share, copy, sell, post, distribute, reproduce, duplicate, trade, resell, exploit, or otherwise disseminate any portion of the Webinar or Webinar materials, electronically or otherwise, for business or commercial use, or in any other way that earns you money, without our prior written permission.

Personal Responsibility, Disclaimer & Release of Claims.

    Personal Responsibility & Assumption of Risk: You acknowledge that you take full responsibility for your own health and well-being, and for all decisions made before, during, and after the Webinar.

    Entire Agreement: This Agreement contains our entire agreement.

    Governing Law: This Agreement shall be construed according to the laws of the [Your County] and in the State of [Your State].

    Non-Disparagement: You agree not to publicly or privately make any negative or critical comments about the Webinar, our business, or us, or to communicate with any other individual, company, or entity in a way that disparages the Webinar or harms our reputation in any way, including on social media at any time.

By registering for the "Histamine Essentials" Webinar, you acknowledge that you have read, understood, agree to, and accept all of the terms in this Agreement. You agree that you have had the opportunity to ask any questions prior to registration, and your registration indicates that you agree with all of the terms of this Agreement.
